Introduction

This document, the SahabDrive Terms of Service (“Terms”), outlines the terms regarding your use of SahabDrive Services (“Services”). These Terms are a legally binding contract between you and RIADVICE SUARL (“RIADVICE”) so please read carefully. If you do not agree with these Terms, do not register or use any of the Services.

If you are using any SahabDrive Services on behalf of an organization or business, you represent that you have the authority to bind that organization or business. When you use SahabDrive Services on behalf of that organization or company, the term “You” refers to the organization or business.

You may use these Services only in compliance with these Terms. Any other use is unauthorized. The Services may change over time as we improve them. If you do not agree to these Terms, do not accept them and do not use the Services.

Your Account and Security

You must register for an account to access the Services. When you create your Account, you choose a username and password that you will use to access the Services and any data associated with your Account or stored with SahabDrive (“Your Data”).

You are responsible for safeguarding your password and keeping your account information current. Do not share your account credentials or give others access to your account.

If you become aware of any unauthorized use of your account or the Services, notify us immediately at privacy@sahabdrive.com.

Your Content

You retain ownership of Your Data. We do not claim ownership of any content you upload, share, or store in your SahabDrive account, except for limited rights needed to provide the Services.

Your Responsibilities

You are solely responsible for Your Data and represent that you own or have the necessary rights to all of your content. You agree that your use of the Services and your content will not infringe or violate any third-party intellectual property rights, privacy rights, or applicable laws.

Copyright and Intellectual Property

RIADVICE respects the intellectual property of others and responds to notices of alleged copyright infringement in accordance with applicable law. We reserve the right to delete or disable access to content that violates copyright or these Terms, and to terminate accounts of repeat infringers.

Paid Accounts and Billing

You can upgrade your account to a paid subscription to access additional storage and features.

We will bill you from the date you upgrade and on each renewal until cancellation. You are responsible for applicable taxes. Cancellation rights are subject to local laws and this paragraph does not override them.

You may downgrade your subscription to a free or lower-tier plan at the end of your current billing period. Downgrades are not effective immediately and fees are non-refundable.

If payment is not received on time, we may suspend your paid account or remove paid features.

We will provide you with at least 30 days’ advance notice before any changes to fees or these Terms take effect. This notice may be sent by email, posted on the SahabDrive website or by posting on any of SahabDrive’s official communication channels, and you are responsible for reviewing such notices. If you do not agree with the changes, you may cancel your subscription before the changes become effective.

Acceptable Use Policy

You agree not to misuse the SahabDrive Services or assist others in doing so. Prohibited activities include, but are not limited to:

• Probing, scanning, or testing the vulnerability of any system or network, including SahabDrive’s
• Circumventing security or authentication measures
• Accessing or using non-public or unauthorized parts of the Services
• Interfering with or disrupting other users, hosts, or networks
• Creating accounts in bulk or by automated means
• Sending unsolicited communications or spam
• Spoofing or phishing activities
• Promoting unauthorized products or services
• Abusing referral or promotion programs
• Circumventing storage limits
• Unauthorized resale of the Services
• Publishing or storing child sexually exploitative material, unlawful pornography, or indecent content
• Publishing or storing content promoting extreme violence, terrorism, hate, or incitement to violence based on protected characteristics
• Violating laws, intellectual property rights, privacy, or other rights
• Using the Services as infrastructure for other cloud services without permission
• Causing harm, disruption, or excessive load to the Services or infrastructure

Additionally, you may not upload, share, or transmit content illegal under applicable laws, including laws of the service operation country and your residence country. This includes content promoting violence, hate speech, exploitation, or sexual content prohibited under applicable moral and cultural standards.

We reserve the right to monitor usage for abuse, including excessive bandwidth or storage usage that harms other users or the system. We may suspend, limit, or terminate accounts or services in response to abuse, hacking attempts, or threats to system stability and security.

Violations may result in removal or disabling of content, suspension, or account termination.

Open Source Software

SahabDrive relies on certain open source software components, some of which are provided “as-is” under their respective open source licenses. You acknowledge that these components may be subject to their own terms, disclaimers, and limitations.

Suspension and Termination

You may stop using the Services at any time. We reserve the right to suspend or terminate your access with reasonable notice if:

• You breach these Terms
• Your usage poses a real risk of harm or loss to us or other users

We will notify you by email and give you an opportunity to export Your Data. If you do not remedy the issue, we may suspend or terminate your account.

In exceptional circumstances (e.g., natural disasters, legal compliance), we may discontinue the Services with prior notice (minimum 30 days where feasible). Prepaid fees for unused service periods will be refunded.

Data Integrity and Restoration Disclaimer

SahabDrive is built with technical redundancy, regular backups, and robust infrastructure to minimize service disruptions. We strive to restore service promptly and recover data from our latest backups. However, we cannot guarantee recovery of the most recent version of Your Data.

Technical failures, synchronization delays, cyberattacks, or external incidents may cause data loss or partial recovery.

You are responsible for maintaining independent backups of critical data.

Except as required by law, RIADVICE is not liable for any data loss or damage resulting from these circumstances.

Limitation of Liability

We do not exclude or limit our liability to you where it would be illegal to do so—this includes any liability for RIADVICE’s or its affiliates’ fraud or fraudulent misrepresentation in providing the Services. In countries where certain exclusions are not allowed, we are responsible to you only for losses and damages that are a reasonably foreseeable result of our failure to use reasonable care and skill or our breach of our contract with you. This paragraph does not affect consumer rights that cannot be waived or limited by any contract or agreement. If you are an EU or UK consumer, these Terms do not exclude our liability for losses and damages that are a result of our failure to use reasonable care and skill in providing the Services or of our breach of our contract with you, as long as those losses and damages are reasonably foreseeable.

In countries where exclusions or limitations of liability are allowed, RIADVICE, its affiliates, suppliers, or distributors will not be liable for:

1. Any indirect, special, incidental, punitive, exemplary, or consequential damages; or
2. Any loss of use, data, business, or profits, regardless of legal theory.

These exclusions or limitations will apply regardless of whether or not RIADVICE or any of its affiliates has been advised of the possibility of such damages.

If you use the Services for any commercial, business, or resale purpose, RIADVICE, its affiliates, suppliers, or distributors will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. RIADVICE and its affiliates are not responsible for the conduct, whether online or offline, of any user of the Services.

Other than for the types of liability we cannot limit by law (as described above), we limit our total liability to you to the greater of USD 50 or the total amount you paid to SahabDrive for the Services during the 12 months immediately preceding the event giving rise to the claim. This provision does not apply to EU consumers where prohibited by applicable law.

Applicable Law and Jurisdiction

These Terms are governed by the laws of Tunisia.

If you are a merchant, public legal entity, or public investment fund, the exclusive jurisdiction for disputes is our registered office.

Mandatory local laws override conflicting provisions.
